Terms and Conditions for Proforma Invoice

1. Definitions

Seller: OAQ Co., Ltd., the entity providing goods or services.

Buyer: The entity purchasing goods or services as specified in the Proforma Invoice.

Goods: The items specified in the Proforma Invoice.

Services: The activities provided by the Seller as specified in the Proforma Invoice.

Proforma Invoice: A preliminary bill of sale sent to the Buyer in advance of a shipment or delivery of goods, detailing the items and the estimated cost.

2. Acceptance

2.1 By accepting the Proforma Invoice, the Buyer agrees to these terms and conditions.

2.2 Any modifications to these terms must be agreed upon in writing by both parties.

3. Prices and Payment

3.1 All prices are quoted in USD($).

3.2 Payment terms are in advance.

3.3 Payments should be made to the bank account specified in the Proforma Invoice.

3.4 Any taxes, duties, or additional charges are the responsibility of the Buyer unless otherwise specified.

4. Delivery and Shipment

4.1 The delivery date is an estimate and is subject to change.

4.2 The Seller is not liable for any delays in delivery due to circumstances beyond their control.

4.3 Shipping costs are included in the prices quoted unless specified otherwise.

4.4 The risk of loss or damage to the Goods passes to the Buyer upon shipment.

5. Inspection and Acceptance of Goods

5.1 The Buyer must inspect the Goods upon receipt and notify the Seller of any discrepancies within 10 days.

5.2 If no notice is received within this period, the Goods are deemed accepted by the Buyer.

6. Returns and Refunds

6.1 Returns are subject to the Seller’s return policy.

6.2 The Buyer must obtain written authorization from the Seller before returning any Goods.

6.3 Refunds will be processed according to the agreed terms upon receipt and inspection of the returned Goods.

7. Warranty

7.1 The Seller warrants that the Goods are as described in the Proforma Invoice.

7.2 Any additional warranties must be specified in writing.

8. Limitation of Liability

8.1 The Seller’s liability is limited to the value of the Goods or Services provided.

8.2 The Seller is not liable for any indirect, incidental, or consequential damages.
